These Terms and Conditions ("Terms") govern the use of the Zoras platform, accessible at zoras.ai and through its related applications (the "Service", "Zoras", "we"), operated by [LEGAL COMPANY NAME], a company registered in Romania, CUI [CUI/CIF], with its registered office at [REGISTERED OFFICE ADDRESS] (the "Company", "we", "us").

By creating an account or using the Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not use the Service.

1. What Zoras is — and what it is not

Zoras is an educational tool for financial market analysis and monitoring, powered by artificial intelligence, designed to help you understand the fundamental context of financial assets (stocks, ETFs, cryptocurrencies, commodities, indices) and monitor your portfolio.

Zoras is not:

• a financial advisor, broker, dealer, or authorized investment intermediary;
• a provider of personalized investment advice under applicable financial services regulations;
• a trading platform — Zoras does not execute, place, or intermediate any financial transaction on your behalf;
• a custodian of funds or financial assets — we do not hold, access, or manage user funds, portfolios, or brokerage accounts.

All analyses, scores, signals, qualitative recommendations, and plans generated by Zoras are for informational and educational purposes only. Investment decisions and their execution remain entirely your responsibility. We do not guarantee the accuracy, completeness, or future performance of any analysis, forecast, or simulation displayed in the Service.

Investments in financial instruments involve risks, including the possibility of partial or total loss of invested capital. Past performance, historical simulations, and projections shown in the Service do not constitute a guarantee of future results.

2. Eligibility

To use the Service, you must:

• be at least 18 years old, or the age of legal majority in your jurisdiction, whichever is higher;
• have the full legal capacity to enter into a binding contract;
• not be a resident or citizen of a jurisdiction where the use of a service like Zoras is restricted or prohibited by local law.

It is your responsibility to verify whether use of the Service is permitted under the applicable law in your jurisdiction, including regulations concerning financial information services.

3. Your account

At registration, you provide information such as first name, last name, email address, country, investment experience level, risk tolerance, and preferred broker. You are responsible for:

• the accuracy of the information provided and keeping it updated in Settings;
• the confidentiality of your login credentials and any activity carried out from your account;
• immediately notifying us in case of unauthorized use of your account.

We reserve the right to suspend or close accounts that violate these Terms, provide false information, or show suspicious fraudulent or abusive activity.

4. Trial period and subscription

Zoras offers a 7-day free trial from the date of account creation.

• You may cancel at any time during the trial period without any charge.
• At the end of the trial period, if you have not canceled, the "Zoras Pro" subscription ($19/month or the equivalent in your local currency as applied by the payment processor) will automatically activate and renew monthly until canceled.
• Payments are processed through a third-party payment processor (Stripe). Zoras does not store and does not have access to your full card details.
• Canceling the subscription stops future renewals; we do not offer refunds for periods already billed, except as expressly required by applicable consumer protection law.
• We reserve the right to change the subscription price, with reasonable prior notice before the next renewal.

5. Service features

5.1 AI Analyst (chat)

The conversational assistant answers questions about stocks, macroeconomic contexts, and fundamental analysis, using market data and artificial intelligence models. Standard accounts have a limit of 5 queries per day, reset daily; the limit may vary depending on the subscription plan. AI Analyst refuses to answer requests outside of financial analysis and never provides exact entry/exit prices, guaranteed price targets, or return promises.

5.2 Your portfolio

You can enter transactions manually, through natural language description, or by uploading a screenshot from your broker, which is automatically processed by artificial intelligence to extract the relevant data. You are responsible for the accuracy of the data entered — Zoras does not independently verify your transactions against your real brokerage account and has no access to that account.

5.3 Daily sentiment and opportunities

General market sentiment analyses and daily opportunities are generated automatically based on public data sources and market events, and are identical for all users — they do not constitute personalized recommendations tailored to your individual financial situation.

5.4 Start plan and portfolio questionnaire

For new users, Zoras may generate, based on the answers provided (budget, goal, time horizon, experience), an indicative allocation plan for an initial portfolio. This plan is an automatically generated educational guide, not a personalized investment recommendation in the legal sense, and does not constitute an obligation or guarantee by Zoras regarding the achievement of the stated objectives.

5.5 Simulations

Zoras may offer (a) prospective simulations ("paper trading"), without real money, based on real-time market data, and (b) retroactive historical simulations, calculated using real price data for the specific allocation analyzed. Both types of simulations are hypothetical, do not reflect real transactions, and do not constitute a guarantee of future performance.

5.6 Market data and AI-generated analyses

Market data comes from third-party providers (including, without limitation, financial data and news providers). Analyses, scores, and texts generated by Zoras are produced using artificial intelligence models and may contain errors, incomplete information, or interpretations that do not correspond to market reality at a given time. We assume no liability for decisions made solely based on these analyses.

6. Prohibited conduct

You are prohibited from:

• using the Service for illegal activities, market manipulation, or fraud;
• automatically extracting (scraping), systematically copying, or redistributing Zoras-generated content without prior written consent;
• attempting to deconstruct, reverse engineer, or extract the AI prompts/models used internally;
• sharing your account login credentials with third parties or using another person's account;
• uploading documents or information that infringe third-party rights (including other people's financial data without their consent);
• systematically exceeding the Service's technical limits (e.g., automating queries to AI Analyst) for the purpose of circumventing usage limits.

7. Third-party providers

The Service integrates third-party providers for market data, payment processing, hosting, email delivery, and artificial intelligence models. We are not responsible for the availability, accuracy, or policies of these third-party providers. Any reference to a third-party broker (e.g., for opening a trading account) is for informational purposes only and does not constitute an exclusive recommendation or partnership relationship that would make us liable for that broker's services.

8. Intellectual property

Zoras content, design, code, trademarks, and materials are the property of the Company or its licensors and are protected by copyright and intellectual property law. You are granted a limited, non-exclusive, and non-transferable right to use the Service for personal use in accordance with these Terms.

9. Limitation of liability

To the maximum extent permitted by applicable law, Zoras and the Company shall not be liable for:

• financial losses resulting from investment decisions made based on information in the Service;
• inaccuracies, interruptions, or errors in market data provided by third parties;
• temporary unavailability of the Service due to technical reasons, maintenance, or causes beyond our control.

The Service is provided "as is" and "as available", without express or implied warranties regarding accuracy, reliability, or fitness for a particular purpose. Nothing in these Terms limits liability where applicable law does not allow such limitation (e.g., gross negligence, fraud, bodily injury).

10. Termination

You may close your account at any time in Settings. We reserve the right to suspend or terminate access to the Service, with or without prior notice, in case of violation of these Terms.

11. Changes to these Terms

We may update these Terms periodically. Significant changes will be communicated by email or in-app notification, effective from the date specified in the updated version. Continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.

12. Governing law and dispute resolution

These Terms are governed by Romanian law.
